These terms govern your use of reginaldagency.com and the services provided by Reginald Agency (“Reginald”, “we”, “us”), a web design and development studio based in Laval, Québec, Canada. By using our website or services, you agree to these terms.
1. Our services
We design and develop websites for businesses. The specific scope, deliverables, timeline, and price of any project are agreed separately in a quote or project agreement. Where that agreement differs from these general terms, the agreement governs that project.
2. Quotes and inquiries
Submitting a form or requesting a quote does not create a binding contract. A project begins only once both parties agree on its scope and price.
3. Your account
You are responsible for keeping your login credentials confidential and for activity under your account. Notify us promptly of any unauthorized use. We may suspend or close accounts that are misused or used unlawfully.
4. Fees and payment
Fees are set out in your quote or invoices, which are issued through your dashboard. Unless agreed otherwise, our website projects use one-time pricing rather than subscriptions. Payment is due according to the terms shown on each invoice. We may pause work on a project while an invoice remains unpaid.
5. Intellectual property
Once a project is paid in full, you own the final website deliverables we create specifically for you. We retain ownership of our pre-existing tools, code libraries, and general methods, and we may reuse them on other projects. Unless you ask us not to, we may show your project in our portfolio. Any third-party assets (such as fonts, images, or plugins) remain subject to their own licenses.
6. Your responsibilities
You agree to provide the content, materials, and timely feedback needed to complete your project, and you are responsible for ensuring you have the right to use any content you give us. You agree not to misuse the site, attempt to breach its security, or use our services for unlawful purposes.
7. Disclaimer
Our website and services are provided “as is” and “as available” to the extent permitted by law. We do not guarantee that the site will always be uninterrupted or error-free.
8. Limitation of liability
To the fullest extent permitted by the law of Québec, Reginald’s total liability arising from a project is limited to the amount you paid us for that project. We are not liable for indirect or consequential damages. Nothing in these terms limits rights that cannot be limited under applicable law.
9. Termination
Either party may end an engagement as set out in the applicable project agreement. You may stop using our website at any time. Fees for work already performed remain payable.
10. Governing law
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there. Any dispute will be submitted to the courts of Québec.
